Imaging3 Announces Investment of More than $1.75 Million
BURBANK, California -- June 17, 2004 -- Imaging3, a leading provider of advanced technology medical imaging devices, announced today that the Company has raised $1,750,000 in equity capital through a private offering to accredited investors.
The private offering is the first step in the Company's plan to be public. In a conventional IPO, a company files a registration statement with the SEC to register shares of stock that will be sold to investors to allow resale, once the SEC approves the registration statement. The length of time to complete the registration process and the restriction against selling securities during the registration process create a burden for small companies seeking to go public. To overcome this challenge, Imaging3 has chosen to sell unregistered shares of stock to accredited investors first, then file a registration statement with the SEC for the shares that have been sold.
Once the registration has been declared effective, the Company plans to ask an NASD broker-dealer/market maker to file a Form 211 with the NASD so that its registered shares may be freely traded on the Over the Counter Bulletin Board market.
The Company's 3D, real time medical imaging technology is a breakthrough that will allow healthcare workers to instantly view high resolution images of virtually any part of the human body in three dimensions.
